Miller Johnson Represents Fogg Filler Company in Sale Transaction

The Transaction
Miller Johnson represented Fogg Filler Company (Fogg Filler) of Holland, Michigan in its recent sale to ProMach, Inc. (ProMach), a platform company of Los Angeles-based private equity firm Leonard Green & Partners LP (LG&P). ProMach is a Kentucky-based portfolio of packaging machinery solutions, engineering and integration service providers for food, beverage and pharmaceutical companies.

Ben Fogg, formerly the owner of Fogg Filler, will stay on and continue his active role in managing Fogg Filler’s operations, which include over 170 employees at a 107,000 square foot facility in Holland, Michigan. According to Mr. Fogg, ProMach is “the ideal partner to help us continue our tremendous growth — one that will provide strength, stability, and continued investment so we can continue expanding the Fogg brand into the marketplace with new products, new innovations, new geographies, and much more.”

Mark Anderson, President and CEO of ProMach, agrees: “We’ve watched Fogg transform over the last decade into one of the strongest filler OEMs in the marketplace under the leadership of Ben Fogg and we are very excited to have him join ProMach.”

Dustin Daniels and Jeremy Scherlinck led Miller Johnson’s team, which included Michael Penny (corporate), Neil Williams (tax), Tripp VanderWal (employee benefits), Jeff Gray (employee benefits), Grant Schertzing (environmental), Jim Ens (real estate), Jon Andersh (real estate) and Patrick Edsenga (employment).
