Erik Daly is a member of the firm’s Corporate/M&A practice group, where he focuses on mergers and acquisitions, securities law matters, and other significant corporate transactions. He represents both publicly traded and privately held companies through the full range of M&A transaction structures, including mergers, stock and asset acquisitions, divestitures, leveraged buyouts, and tender offers, and is well versed in the intersection of M&A activity with securities laws and fiduciary duties for SEC registrants. Mr. Daly regularly advises private equity investors, family offices, and founders on portfolio acquisitions, roll-ups, and exit transactions, and brings extensive experience in securities law and corporate financing matters.
Andrew Oostema is a member of the firm’s Med Recovery and Litigation section, representing clients in civil disputes in State and Federal Courts. He specializes in healthcare reimbursement litigation, counseling medical providers on all aspects of the commercial claims revenue cycle and representing them in disputes brought by, and initiated against, commercial insurers over unpaid or underpaid medical charges. Having represented stakeholders on both sides of medical charge litigation, Mr. Oostema brings a distinctive perspective to delivering efficient, revenue-positive outcomes for his healthcare provider clients. He also has experience in civil litigation defense, handling matters involving automobile negligence, products liability, Michigan no-fault benefits, medical malpractice, workers’ compensation, insurance coverage, and professional liability, and managing all aspects of litigation from pleading and discovery through trials and appeals.
Emily Palacios is a member of the Real Estate practice group and focuses her practice on transactional and litigation matters involving real estate, construction, land use, and public law and government affairs. Her transactional work spans the full range of real estate deals, from acquisition and construction financing to leasing and disposition, including converting multi-family rental properties to condominium projects and structuring renewable energy build-transfer agreements. Ms. Palacios also handles disputes involving purchase agreements, development agreements, commercial leases, and easements, and prosecutes quiet-title and plat vacation actions in support of redevelopment. She also practices in land use, zoning, and historic preservation matters, representing clients before planning commissions, zoning boards, and historic district commissions on projects ranging from sports and entertainment arenas to utility-scale wind and solar energy facilities.
David Buday served as Miller Johnson’s Managing Member from 2021 – 2025. He is a member of the firm’s Employment and Labor practice group, representing employers and management in a wide range of matters. Mr. Buday has worked with myriad businesses on a full spectrum of labor relations including helping clients in union-management relations, collective bargaining, arbitrating cases before the American Arbitration Association, the Federal Mediation and Conciliation Service and independent arbitrators, and handling unfair labor practice matters before the National Labor Relations Board. Because he represents both unionized employers and non-union employers, he uses that knowledge to his clients’ advantage. Mr. Buday works closely with hospitals and health systems in addressing the vital need for good staff relations in a changing and challenging environment. In addition, he also represents medical providers, nursing facilities, and diagnostic centers.
