Michael D. Penny
Michael Penny is a Member in Miller Johnson’s Corporate / Mergers and Acquisitions practice group. His practice is focused on advising private companies through all stages of complex transactions, including private equity purchases, sales of closely held businesses, recapitalizations, and strategic investments.
Michael joined Miller Johnson as a summer associate in 2017 and has since built a robust transactional practice grounded in keen deal structuring insight and pragmatic execution. He partners with clients across industries, working closely with management teams, private equity sponsors, financial advisors, accountants, and other stakeholders to guide deals from due diligence to closing.

- Acted as legal advisor to Allied OMS Holdings in obtaining a significant minority investment from 65 Equity Partners.
- Represented Capital Stoneworks in its strategic partnership with Leelanau Private Capital.
- Represented the shareholders of Uniband USA in its sale to Beltservice Corporation.
- Represented Altus Capital Partners in its investment in ALM Positioners.
- Represented Fitness Quest Physical Therapy in its sale to Confluent Health
- Represented the shareholders of MGC Diagnostics Corporation in its sale to CAIRE, Inc.
- Represented American Industrial Partners in its acquisition of Webson Fasteners and Mutual Screw & Supply.
Michael’s approach combines technical rigor with responsiveness. He prides himself on handling deal complexity—including tax, rollover equity considerations, and earn-out structures—while keeping a sharp focus on client objectives and timelines.
