Jessica (Jay) McLemore is an Associate in the Business and Corporate, and Mergers and Acquisition (M&A) practice groups. She focuses her practice on corporate counseling, with an emphasis on M&A and taxation.

Tax Experience

Prior to joining Miller Johnson, Jessica worked as an International Tax Consultant at a “Big 4” accounting firm.  She has experience in a broad range of transactional and day-to-day matters, including debt restructuring, tax advisory and planning, restructuring and divestiture transactions, federal tax compliance, income tax provisions (i.e., auditing), and working with multinational companies with international compliance reporting and provisions.

Mergers and Acquisitions

Jessica’s practice consists primarily of representing clients on all aspects of private-company mergers, acquisitions, divestitures, joint ventures and restructurings.  She has experience advising closely held businesses, private equity funds and family offices on both buy-side and sell-side transactions.  As part of this representation, Jessica regularly leverages her tax background to develop and execute transaction structures that allow clients to reach their business goals in a tax-efficient manner.

Community Activities

Before becoming an attorney, Jessica was a nationally certified coordinator and manager for Communities In Schools, the nation’s leading dropout prevention organization which helps connect students to caring adults and community resources.  She currently volunteers with Detroit Regional Dollars for Scholars and as a Michigan Election Adjudicator.

Education

Jessica received an LL.M. in Taxation from Western Michigan University – Cooley Law School.  Prior to receiving her LL.M., she earned a J.D. from Western Michigan University – Cooley Law School as well as her B.A. from Oral Roberts University.  Jessica is admitted to practice in Michigan.
