Alex Kaminski is an Associate in the Corporate / Mergers and Acquisitions practice group. His practice is focused on advising private companies through all stages of complex transactions, including private equity purchases, sales of closely held businesses, recapitalizations, and strategic investments.

Joining Miller Johnson in 2021 as a summer associate, Alex has experience in building a transactional practice grounded in keen deal structuring insight and pragmatic execution. He partners with clients across industries, working closely with management teams, private equity sponsors, financial advisors, accountants, and other stakeholders to guide deals from due diligence to closing.

Corporate Finance
Alex also counsels corporate clients, lenders and finance funds in connection with bilateral and syndicated loan transactions. He negotiates and coordinates logistics of asset-based finance facilities, acquisition finance, cash flow lending, and financing for start-up ventures. He is responsible for communicating with clients in the drafting and negotiating of all documents required in order to complete a transaction.

Employee Stock Ownership Plans (ESOP) Advisory
Alex advises clients on complex mergers and acquisitions transactions, including the sale of company stock to employee stock ownership plans (ESOPs). In these transactions, he works closely with business owners, ESOP trustees, financial advisors, and lenders to structure and execute the sale of ownership interests in a way that aligns with both the seller’s exit strategy and the company’s long-term goals.

Representative Experience

  • Represented Charter Capital Partners in the sale of its investment banking advisor business to KSM (also known as Katz, Sapper & Miller)
  • Acted as legal advisor to CLM Enterprises in an ESOP sale transaction
  • Acted as legal advisor to The Worden Company in acquisition of Nuvar Manufacturing
  • Acted as legal advisor to Allied OMS Holdings in obtaining a significant minority investment from 65 Equity Partners
  • Acted as legal advisor to Capital Stoneworks in its strategic partnership with Leelanau Private Capital

Education
Alex graduated with his Juris Doctor from University of Colorado Law School in 2022. While in Law School Alex served on the executive board of the Transactional Division of the Barrister’s Council, where he oversaw the 1L Mergers & Acquisitions contract drafting and negotiation competition. Alex graduated with his Bachelors of Science from University of Michigan in 2018. Alex was a walk-on to the University of Michigan football team, where he played linebacker for four years.

While in law school, Alex was an Athletics Compliance Legal Intern at the University of Colorado Boulder and member of the University of Colorado Law Review. He also was an active member of the University of Colorado Law Review and was the recipient of the George Bermant Award for Best Academic Performance in Corporate Law at University of Colorado.

While at University of Colorado Boulder, Alex was a Judicial Extern under Chief Judge Timothy M. Tymkovich on the 10th Circuit Court of Appeals.  He was also a Judicial Intern at Denver District Court working for Judge Brian R. Whitney, he assisted the Clerk with drafting orders on pretrial motions and wrote bench memos for the Court advising on special legal issues.
